PartsCloud is a software-as-a-service parts inventory management platform for vehicle dismantlers, operated by One77 LTD ("we", "us", "our"), a company registered in England and Wales, Company No. 12025018, VAT No. GB478345061.
These Terms of Service ("Terms") govern your access to and use of PartsCloud, including our website at partscloud.co.uk and application at app.partscloud.co.uk.
You must be at least 18 years old and operating as a business (sole trader, limited company, or partnership) to use PartsCloud. You are responsible for maintaining the confidentiality of your account credentials. Each user must have their own account; sharing accounts is not permitted. Notify us immediately at [email protected] if you suspect unauthorised access.
PartsCloud is provided "as a service" — you do not receive a copy of the software, only the right to access it during your active subscription. We may update, change, or remove features at any time. Material reductions in functionality will be communicated in advance where reasonably practical.
We offer a 14-day free trial for new organisations. Full access to all features included in your selected plan is provided during the trial, no payment is required, and no card is taken. At the end of the trial, access will be suspended until a subscription is activated. We reserve the right to modify or discontinue trial offers at any time.
PartsCloud is available on the following monthly subscription plans. Current pricing is published at partscloud.co.uk/pricing and reflects the current commercial offer at any given time:
Annual billing is available at a discount of approximately 10% compared with the monthly rate. All prices are quoted in GBP and exclude UK VAT, which is added at the prevailing rate where applicable.
Subscriptions are billed monthly (or annually if you select annual billing) in advance via Stripe. All payments are non-refundable. We may change pricing at any time; for existing customers, any price increase will take effect no sooner than 30 days after we email you to notify you of the change.
If a payment fails or is overdue, we will contact you and may suspend access to the service if the balance remains unpaid for more than 7 days. Suspended accounts retain their data and may be reactivated on payment of outstanding amounts.
You may cancel your subscription at any time from within the platform or by emailing [email protected]. Cancellation takes effect at the end of your current billing period. We do not refund unused portions of a paid month.
You retain ownership of all data you upload to PartsCloud, including parts records, vehicle information, photos, invoices, and customer details. We do not sell or share your data with third parties except as required to operate the service or comply with law (see our Privacy Policy).
PartsCloud takes daily encrypted backups of the platform database to multiple destinations for disaster-recovery purposes. These backups exist to enable us to restore the platform in the event of an infrastructure incident; they are not a substitute for your own records. You are responsible for periodically exporting any data you would not want to lose (CSV and PDF export are available from within the platform). We strongly recommend exporting your inventory and invoice records on a regular basis.
We aim to keep PartsCloud available 24/7 but we do not offer a guaranteed uptime service-level agreement (SLA) under these standard terms. Downtime falls into two categories:
To the fullest extent permitted by law, we are not liable for any direct or indirect loss arising from the service being unavailable, including but not limited to loss of revenue, lost sales, lost listings, missed enquiries, or business interruption. If you require contractual uptime guarantees, please contact us to discuss a custom enterprise agreement.
PartsCloud integrates with third-party services on your behalf, including (but not limited to) eBay, Stripe, DVLA / Vehicle Data Global, Postmark, Anthropic, Google Drive, and your own e-commerce platforms. You are responsible for complying with the terms of each third-party service you connect. We are not responsible for:
When you connect your eBay account, PartsCloud acts on your behalf to create, revise, and end listings. You are responsible for ensuring your listings comply with eBay's policies, item-specifics requirements, and applicable consumer law. PartsCloud is not liable for any eBay fees, policy violations, account suspensions, or buyer disputes arising from your listings.
You must not: attempt to access another organisation's data; use the service for any unlawful purpose; list parts you do not have lawful title to (including stolen-vehicle parts); upload malware or content that infringes third-party intellectual property; resell access to the platform; or attempt to reverse-engineer, scrape, or copy the platform.
PartsCloud is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we exclude all implied warranties (including fitness for a particular purpose, merchantability, and non-infringement).
Subject to the paragraph below, our total aggregate liability to you in any 12-month period — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — shall not exceed the total subscription fees you have paid us in the 12 months immediately preceding the event giving rise to the claim.
In no event shall we be liable for any of the following, whether direct or indirect:
Nothing in these terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under English law.
You agree to indemnify and hold PartsCloud and One77 LTD harmless from any claims, damages, losses, or costs (including reasonable legal fees) arising from: (a) your use of the service in breach of these terms; (b) the content you upload (including parts listings, photos, vehicle data); (c) any third-party intellectual-property claim relating to your content; or (d) your breach of any law, including UK GDPR, consumer protection law, or eBay's policies.
Neither party shall be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, war, terrorism, civil disorder, pandemic, government action, fire, flood, power or telecommunications failure, internet outage, cyber-attack, or failure of third-party services on which the platform depends.
All software, design, trademarks, and content comprising the PartsCloud platform are owned by or licensed to One77 LTD. Nothing in these Terms transfers any intellectual property rights to you. You may not copy, modify, reverse-engineer, or create derivative works of any part of our platform without our prior written consent.
We process personal data in accordance with UK GDPR. See our Privacy Policy for full details. Data is encrypted at rest and all connections use HTTPS/TLS.
You may request deletion of your account and all associated data by contacting [email protected]. Deleted accounts and data cannot be recovered. We may retain certain records (such as invoices) where required by law — UK tax law requires retention of business records for 6 years.
To provide technical support, investigate billing or security issues, or diagnose errors you have reported, authorised PartsCloud staff may access your account in view-only or administrative mode. All such access is logged internally. Staff will not access your account for any other purpose. Full detail on how this access is controlled is in our Privacy Policy.
We may update these terms from time to time. Material changes will be notified via email or in-app banner at least 14 days in advance. Continued use of the service after changes take effect constitutes acceptance of the updated terms.
These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts.
